Parties

This Agreement is entered into by and between:

"SaaS Target Company", a Delaware corporation with its principal place of business at 200 Mission Street, Suite 900, San Francisco, CA 94105 ("Company"), and "DataCorp", with its registered address at 233 S Wacker Dr, Chicago, IL 60606 ("Customer" if a customer contract, otherwise "Partner/Supplier").

Background

DataCorp desires to engage Company for supplier (data) related to Company's AI SaaS platform and professional services. Company agrees to provide the foregoing subject to the terms of this Agreement.

1. Definitions

"Affiliate" means an entity that controls, is controlled by, or is under common control with a party.

"Platform" means Company's hosted AI software offerings and related documentation made available as software-as-a-service.

Amendment 1 (SOW) to Data Vendor Order Form

This Amendment is entered into pursuant to and modifies the Data Vendor Order Form, originally effective as of September 13, 2024, and the Master Subscription Agreement between SaaS Target Company and DataCorp.

All other terms and conditions of the Agreement remain unchanged and in full force and effect.
